C of O vs Deed of Assignment: What’s the Difference?

If you’re buying property in Nigeria, you’ve probably heard people talk about a Certificate of Occupancy (C of O) and a Deed of Assignment.

They are both important, but they serve different purposes.

Think of it this way:

A C of O is about the right to occupy land.
It is issued by the relevant government authority as evidence of a right of occupancy.

A Deed of Assignment is about transferring an interest in property.
It is the document used to formally transfer the seller’s interest in the property to the buyer.

So, when someone tells you, *“The property has a Deed of Assignment,” that should not be the end of your questions.

You still need to know:

🔹 Who originally owned the property?
🔹 Does the seller actually have the right to sell it?
🔹 Is there a valid root of title?
🔹 Is the property affected by government acquisition or any encumbrance?
🔹 Has the required consent been obtained?
🔹 Will the transaction be properly documented and registered?

This is why simply seeing a C of O or Deed of Assignment is not enough.

Before you pay for property, have a lawyer investigate the title and the transaction.

Because when it comes to property, **the document you are shown is only part of the story.

The Biggest Mistake First-Time Property Investors Make

One of the biggest mistakes first-time property investors make is **falling in love with the property before checking the paperwork.

The house may look beautiful.
The location may seem perfect.
The price may even look like a bargain.

But none of that matters if you do not have a clear legal right to what you are buying.

Before you pay for that land, house or investment property, make sure you:

🔹 Verify the seller's ownership
Don't assume that the person selling the property actually has the legal right to sell it.

🔹 Conduct proper due diligence
Investigate the title, ownership history, government acquisition, encumbrances and possible disputes.

🔹 Inspect the property
What you see online or in pictures may not tell the whole story.

🔹Review the documents
Do not sign agreements you do not understand. Have a lawyer review the documents before you commit.

🔹 Think beyond the purchase price
Consider documentation, registration, taxes, development restrictions, management and other costs that may come with the investment.

A good property investment is not just about finding a property at the right price. It is about making sure you can legally and safely own it.

Don't let excitement make you skip due diligence.

Before you buy, speak to a property lawyer.
