Parking and accessibility influence patient convenience, satisfaction, and practice functionality. Healthcare locations can serve frequent appointments and patients with mobility limitations.

Adequate Parking
Healthcare practices may need more convenient parking than traditional offices because of patient turnover, staff needs, and scheduled appointments. Inadequate parking may lead to late or missed appointments and discourage patients.
• Total available spaces and parking ratio
• Patient versus employee spaces
• Accessible parking spaces
• Shared parking with neighboring tenants
• Parking costs, restrictions, and reserved-space rights
The lease should state whether parking is reserved, shared, or subject to future modification.

ADA Accessibility
Healthcare facilities must comply with applicable accessibility requirements, including the Americans with Disabilities Act. Depending on the premises, this can involve entrances, parking, routes, restrooms, and interior layouts. Patients using wheelchairs, walkers, or other aids need safe access. Clearly allocate responsibility for accessibility improvements and maintenance; lease allocation does not necessarily remove legal obligations.

Convenient Patient Access
• Proximity to roads and surrounding neighborhoods
• Clear exterior and directional signage
• Elevator access for upper-floor suites
• Convenient drop-off and pick-up areas
• Ease of locating the practice and navigating the building

Parking and accessibility directly affect patient experience, operational efficiency, and the ability to serve patients effectively.

The permitted-use clause defines which services and business activities may operate within the premises. Healthcare specialties have distinct equipment, operational, and regulatory needs.

Permitted Use
For example, a dental lease could allow for general dentistry, cosmetic dentistry, orthodontics, and other agreed services. Narrow language can restrict future services or new treatment offerings. The permitted-use clause should reflect present and reasonably anticipated operations.

Exclusive Use Rights
An exclusive-use clause may restrict the landlord from leasing nearby space within the same development to certain competing providers. For example, if granted, an exclusive use clause for a pediatric dental practice could prevent future pediatric dental practices in the same premises. Check carve-outs for existing tenants, specific services, and geographic limits.

Exclusions and Prohibited Uses
These clauses identify activities that are not allowed, potentially including certain procedures, imaging equipment, hazardous materials, or other activities requiring special permission. The practice must confirm the intended use complies with lease restrictions, zoning, building capability, and applicable laws.
Other important considerations
— Future expansion: May the practice add services or specialties?
— Equipment restrictions: Can the premises accommodate imaging and other specialized technology?
— Regulatory compliance: Is the intended use compatible with zoning, building codes, and licensing?
— Assignment and subleasing: Can the lease transfer if the practice is sold, merged, or reorganized?

The lease should support current operations and future growth; restrictive language can limit business opportunities.

Total occupancy cost is the complete financial commitment to lease, prepare, and operate a healthcare space, including rent, pass-through charges, construction, and opening expenses. Four important negotiating factors are base rent, tenant improvement allowances, free rent, and build-out time.

Base rent is the fixed amount a tenant pays a landlord to occupy a commercial space, typically calculated on a per-square-foot, annual basis. It serves as the foundation of a commercial lease and is determined by factors such as location, property size, market conditions, and lease terms. Understanding base rent is essential for tenants when evaluating the overall cost of leasing a commercial property.

A Tenant Improvement Allowance (TIA) is a landlord contribution toward improvements or construction needed to prepare a space for the tenant. Healthcare build-outs can be costly because of:
— Medical or dental plumbing and electrical infrastructure
— Examination rooms, treatment rooms, and consultation areas
— Specialized HVAC and ventilation
— ADA-compliant restrooms, entrances, and accessible routes
— Imaging equipment, sterilization systems, or medical gases

A TIA reduces upfront capital requirements. Specify the allowance amount, eligible expenses, reimbursement procedure, deadlines, and responsibility for overages.

Free rent is a negotiated period when some or all rent is waived. For example, three months of base rent abatement may help a practice during construction or initial opening. The practice may have major expenses before patient revenue begins. Free rent may not waive NNN charges, utilities, insurance, or other obligations.

Build-out time is the period for constructing or renovating the space before it is ready for patient operations. Healthcare projects may require specialized installations, permits, inspections, and regulatory approvals. Delays can postpone appointments and revenue. Define when rent begins, who bears delays, and any extension rights.

The type of lease determines which expenses the landlord covers and which expenses the tenant must pay. Two properties with identical base rents can have significantly different total occupancy costs.

Full Service (Gross) Lease
The tenant pays a fixed rental amount that typically includes base rent and certain operating expenses, such as property taxes, building insurance, maintenance, and utilities. This structure can improve budgeting predictability. Confirm which services are included and whether operating expense increases may be passed through.

Modified Gross Lease
The landlord and tenant share responsibility for operating expenses. For example, the landlord might cover property taxes and structural maintenance while the tenant pays utilities, janitorial services, or certain maintenance expenses. Cost allocation varies widely; understand exactly which charges are included and separately billed.

Triple Net (NNN) Lease
The tenant typically pays base rent plus a proportionate share of property taxes, property insurance, and common area maintenance (CAM). A low advertised base rent may be offset by additional, fluctuating expenses.

A multi-location pediatric practice was looking to reduce its real estate costs after its lease had escalated above market over the term.

Challenge: The practice occupied 50% of the building and the landlord the other 50%. The landlord offered to reduce rent by $1.00/SF.

Approach: Our team began negotiations 18 months before lease expiration for one of the locations, a 7,500 SF office. Square footage and plenty of time before lease expiration provided leverage. We toured other 7,500 SF lease options. We provided comps to the landlord about completed deals in the area to support reduced rent, and ultimately negotiated a lease restructure that contained favorable concessions, including reduced Rental Rates and Tenant Improvement Allowance.

Result: $375,000+ reduction off the marketed Rental Rate over the next 10 years, $25,000 of Tenant Improvement Allowance, and significant cost savings supporting the practice’s short-term profitability and long-term goals.

Total Client Benefit: $400,000

Does your lease expire within the next two years? The time to start negotiating is now.
