Do due diligence when renting a factory .

真实Case‼️ 租到违法Factory，
损失超过RM1.1 Million，
最后索赔却被驳回！

发生什么事？

一名家具制造商租下一间现成Factory：

* 月租：RM11,500
* 租期：3年，另有2年续租选择权
* Rental deposit：RM34,500
* Utilities deposit：RM11,500

租客相信该场所适合经营家具制造，于是签约、装修并开始营业。

大约7个月后，租客收到MPSJ通知：

* Factory没有获得相关建筑批准；
* 土地用途条件是Agriculture；
* 必须停止厂内活动；
* 土地须恢复原状，否则可能面对处罚。

租客因此终止租约并起诉业主，索赔包括：

* 装修费：RM557,432
* 搬迁费：RM24,580
* 新场地租金：RM28,500
* 利润损失：RM500,000

申索总额超过 RM1.1 Million。

法院认为：

* 在Agriculture Land上经营工业活动违反土地条件；
* 租客本身也没有取得有效Business Licence（重点）
* 相关Tenancy Agreement从一开始就是违法、无效及不能执行。

结果，租客超过RM1.1 Million的损失索赔被驳回。

业主只需退还法院认定其收到的：

* RM23,000 rental deposit
* RM11,500 utilities deposit

双方各自承担律师费。😲😨

Lesson to be learned :

看到一栋建筑像Factory，不代表法律上它就是合法Factory。

签约及装修前，至少核对Land Title条件、zoning、approved building plan、CCC/CF以及自己的business licence是否能够申请。
